  1. Purchase and Acceptance
    1. By agreeing to order products or services from Systems Express Ltd the Buyer agrees to buy at the price stated and the Seller shall sell in the way described on this site. The Seller's acceptance of the order is conditional on receipt of payment, the ability of the Seller to provide the products or services and there being no error or innocent misrepresentation by either party.
    2. These Conditions shall govern all agreements between the Seller and the Buyer and no variation to these Conditions shall be binding unless agreed in writing by a director of the Seller. For the avoidance of doubt, the Seller expressly rejects all and any terms and conditions (whether oral or in writing) proposed by the Buyer;
    3. Orders of the Buyer for the purchase of the Goods will only be accepted by the Seller subject to these Conditions and where the order originates from an authorised representative of the Buyer;
    4. No order of the Buyer shall be binding upon the Seller unless it complies with the provisions of these Conditions and is accepted in writing by the Seller. No other act or omission shall constitute acceptance by the Seller of any order to purchase Goods;
    5. Due to the vast variety of products we sell, we are unable to display our prices. Our prices start from £35.00 going up depending on the product/parts and/or service required.
  2. General
    1. The Buyer notes agrees and accepts the contents of the Seller's Legal Notices displayed on its website and in particular the clauses relating to:
      • Price
      • Payment Terms
      • Delivery
      • The Buyer's responsibility
      • Credit Facilities
      • Risk and Title
      • Warranties and Liabilities
      • Defective Goods and Replacement
      • Liability
      • Force Majeure
    2. Any typographical, clerical or other error or omission in any sales literature, quotation, price list, invoice or other document or information issued by the Seller shall be subject to correction without any liability on the part of the Seller.
    3. Pursuant to the Contracts (Rights of Third Parties) Act 1999 nothing in this Agreement confers or purports to confer on any third party other than a successor in title to either party to this Agreement any benefit or any right to enforce any term of this Agreement
    4. The Buyer acknowledges that the Seller may retain and use the Buyer's details provided, with the exception of financial information, with this order in accordance with Seller's privacy policy as set out on the Site. The Seller confirms that it will not pass these details to other parties without the Buyer's consent, except to the extent required to perform this contract.
    5. The exercise, or failure to exercise, any of its rights and remedies under these Conditions, shall not constitute a wavier by the Seller of that or of any of its other rights or remedies
    6. Unless otherwise specified in these Conditions, these Conditions constitute the entire agreement between the Seller and the Buyer
    7. These Conditions shall be governed by English law and the Buyer submits to the exclusive jurisdiction of the English Courts.

  1. Disclaimer
    Whilst the Seller endeavours to ensure that the information contained on this site is true and accurate, the Seller cannot give any warranty to that effect. The Seller cannot be responsible for the consequences of reliance on that information and any information of an advisory nature is general only and cannot be regarded as applicable to a specific case. However this disclaimer is not intended to affect the Buyer's statutory rights. In particular, please note that the Seller cannot accept any responsibility for the contents of materials viewable from this site which are not provided or maintained by us.
  2. Copyright Notice
    The materials contained on this site except as where identified as being the copyright of any other person are the copyright of the Seller and may be subject to other intellectual property rights such as trade marks. This applies in particular to the trade marks associated with goods and services provided by the Seller as resellers. Whilst the pages of this site may be downloaded or copied for the purposes for which the site is intended, such copies may only be used by the Buyer and within the Buyer's organisation, and not for any commercial use without our express consent. All copyrights and trademark notices, marks, disclaimers and other such elements must be reproduced acknowledges preserved and upheld at all times.
  3. Email Policy
    Communications in connection with this service may be sent by e-mail. For ease of use and compatibility communications other than payments will not be sent in an encrypted form unless the Buyer requires it and provide the certification to enable the Seller to communicate with the Buyer in that way. E-mail unless encrypted is not a fully secure means of communication.
  4. Privacy Policy
    Preservation of the Buyer's privacy is important to the Seller and the Seller is committed to letting the Buyer know how the Seller uses the Buyer's personal information. Information which identifies the Buyer personally will be utilised only to provide the services the Buyer require and for providing the Buyer with information about our products and services. It will not be sold or disclosed to third parties without the Buyer's permission unless the Seller is required to do so by law. If cookies are used they will similarly only be used to assist the purposes set out in this privacy policy, but cookies will not be used if the Seller do not consider them to be necessary. For the purposes of the Business Names Act 1985 the Seller confirms that the proprietors of this site are Systems Express Limited of Systems House, 23/29 Daws Lane, Mill Hill, London, NW7 4SD, England (UK company reg number 2250561).
  5. The Price
    The price of the Goods shall be the Seller's quoted price and all prices quoted are valid only at the time of quotation and the Seller reserves the right to alter the price at any time without giving notice to the Buyer. Unless otherwise specified in writing, the price is exclusive of any applicable value added or other tax, which the Buyer shall additionally pay to the Seller. Unless otherwise specified in writing, the price is exclusive of all and any delivery, carriage, insurance and storage charges which the Buyer shall additionally pay to the Seller.
  6. Payment Terms
    Subject to any special terms agreed in writing by the Seller, the Goods shall be paid for at the time of the purchase. In the event, the Seller agrees to deliver the Goods to a location specified in writing by the Buyer, the Seller shall be entitled to invoice the Buyer prior to, on or at any time after, the delivery of the Goods. If the Seller makes Goods available for collection from any premises of the Seller, the Seller shall be entitled to invoice the Buyer (if payment in full in respect of the price of the Goods has not already been made by the Buyer), for the price at any time after the Seller has notified the Buyer that the Goods are ready for collection. Time shall be of the essence with regard to payment for the Goods. Interest will be charged on any payment not made within 30 days of the Seller's acceptance of the order at four per cent over Barclays Bank plc base rate from time to time in force.
  7. Delivery & Cancellation Policy
    The seller estimates the delivery time being a maximum of seven to ten days, unless otherwise agreed prior to acceptance of the order, failing which the buyer is notified and is given the option to cancel the order at no cost. In most case, the estimated lead time is given. This will not apply if delay is caused due to unforeseen circumstances, i.e. weather conditions, customs delay, etc. The Seller reserves the right, without liability, to make partial deliveries.
  8. The Buyers Responsibility
    The Seller's employees or agents are not authorised to make any representations concerning the Goods unless confirmed in writing by the Seller. In purchasing Goods from the Seller, the Buyer acknowledges that it does not rely on and waives any claim for breach of, any such representations which are not so confirmed. Any advice or recommendations given to the Buyer by the Seller or its employees or agents as to storage, application, use or preference of the Goods which is not confirmed in writing by the Seller, is followed or acted upon entirely at the Buyer's own risk and accordingly, the Seller shall not be liable for any such advice or recommendation which is not so confirmed.
  9. Credit Facilities
    In the event that the Seller agrees written credit terms with the Buyer, the Seller reserves the right, without liability to vary, change or withdraw such credit terms, as the Seller in its absolute discretion, sees fit. In the event that the Buyer exceeds any agreed credit terms, the Seller shall forthwith stop all deliveries of Goods to the Buyer without notice and without liability on the part of the Seller. In the event that partial delivery is made by the Seller, the Seller reserves the right to invoice each such partial delivery separately, and the Buyer undertakes and agrees to discharge such invoice in accordance with its terms and these Conditions.
  10. Risk and Title
    1. Where any Goods are delivered to the Buyer prior to payment those Goods remain the property of the Seller and may not be incorporated by manufacture or mixing with other Goods nor sold on by the Buyer until payment has been made. Notwithstanding delivery and the passing of risk in the Goods, or any other provision in these Conditions, the title in the Goods shall not pass to the Buyer until the Seller has received in cash or cleared funds, payment in full of the price of the Goods and all other Goods agreed to be sold by the Seller to the Buyer for which payment is then due, including all and any additional charges as set out in these Conditions.
    2. Risk of damage to or loss of the Goods shall pass to the Buyer:
      • In the case of Goods to be collected at the Seller's premises, at the time the Seller notifies the Buyer that the Goods are available for collection or at the time the Buyer collects the Goods, whichever is the earlier.
      • In the case of Goods to be delivered at the Buyer's direction, at the time of delivery or if the Buyer wrongfully fails to take delivery of the Goods, the time when the Seller has tendered delivery of the Goods.
    3. Until such time as the property in the Goods passes to the Buyer, the Buyer shall hold the Goods as the Sellers fiduciary agent and bailee, and shall keep the Goods separate from those of the Buyer and third parties and properly stored, protected and insured and identified as the Seller's property. Until that time, the Buyer shall be entitled to resell or use the Goods in the ordinary course of it's business but shall account to the Seller for the proceeds of sale or otherwise of the Goods, whether tangible or intangible, including insurance proceeds, and shall keep all such proceeds separate from any monies or property of the Buyer and third parties and, in the case of tangible proceeds, properly stored, protected and insured.
    4. Until such time as the property in the Goods passes to the Buyer (and provided the Goods are still in existence and have not been resold), the Seller shall be entitled at any time to require the Buyer to deliver up the Goods to the Seller and/or its agents or authorised representatives shall be entitled to enter any premises of the Buyer or any third party where the Goods are stored and repossess the Goods then due.
    5. The Buyer shall not be entitled to pledge or in any way charge by way of security for any indebtedness any of the Goods which remain the property of the Seller, but if the Buyer does so, all monies owing by the Buyer to the Seller shall (without prejudice to any other right or remedy of the Seller) forthwith become due and payable.
  11. Warranty & Condition
    1. Subject to these Conditions, the Seller warrants that the Goods will correspond with their specification at the time of the delivery and will be free from defects in material and workmanship for the period from the date of the delivery, specified in writing to the Buyer (if any).
    2. The warranty given at 11.1 is given by the Seller subject to the following conditions:
      • The Seller shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow the Seller's instructions (whether oral or in writing), misuse or alteration or repair of the Goods without the Seller's approval.
      • The Seller shall be under no liability at all under the above warranty (or any other warranty, condition or guarantee) if the total price for the Goods has not been paid by the due date for payment.
    3. The above warranty does not extend to parts, materials or equipment not manufactured by the Seller, in respect of which the Buyer shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to the Seller.
    4. Except as expressly provided in these Conditions all warranties, conditions or other terms implied by statute or common law are excluded to the fullest extent permitted by law.
  12. Defective Goods and Replacement
    Any claim by the Buyer which is based on any defect in the quality or condition of the Goods or their failure to correspond with specification shall (whether or not delivery is refused by the Buyer) be notified to the Seller within 7 days from the date of delivery or (where the defect or failure was not apparent on reasonable inspection) within a reasonable time (up to four weeks from date of delivery) after discovery of the defect or failure. If delivery is not refused and the Buyer does not notify the Seller accordingly, the Buyer shall not be entitled to reject the Goods and the Seller shall have no liability for such defect or failure, and the Buyer shall be bound to pay the price as if the Goods had been delivered in accordance with the Contract. Where any valid claim in respect of any of the Goods which is based on any defect in the quality or condition of the Goods or their failure to meet specification is notified to the Seller in accordance with these Conditions, the Seller shall be entitled to replace the Goods (or the part in question) free of charge or, at the Seller's sole discretion, refund to the Buyer the price of the Goods (or a proportionate part of the price), but the Seller shall have no further liability to the Buyer. Any Goods replaced by the Seller pursuant to these Conditions or otherwise shall immediately become the absolute and exclusive property of the Seller.
  13. Liability
    Except in respect of death or personal injury caused by the Seller's negligence, the Seller shall not be liable to the Buyer by reason of any representation, or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the Contract, for any consequential loss or damage (whether for loss of profit or otherwise), costs, expenses or other claims for consequential compensation whatsoever (and whether caused by the negligence of the Seller, its employees or agents or otherwise) which arise out of or in connection with the supply of the Goods or their use or resale by the Buyer, except as expressly provided in these Conditions.
  14. Force Majeure
    The Seller shall not be liable to the Buyer or be deemed to be in breach of contract by reason of any delay in performing, or any failure to perform, any of the Seller's obligations in relation to the Goods, if the delay or failure was due to any cause beyond the Seller's reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as causes beyond the Seller's reasonable control:
    • Act of God, explosion, flood, tempest, fire or accident;
    • War or threat of war, sabotage, insurrection, civil disturbance or requisition;
    • Acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
    • Import or export regulations or embargoes;
    • Strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Seller or of a third party);
    • Difficulties in obtaining raw materials, labour, fuel, part or machinery;
    • Power failure or breakdown in machinery;
  15. Data Protection and Financial Information
    We will retain customer financial information in our systems or share this information with any third parties
  16. Other
    There is a 3% surcharge for UK customers and 6% for International customers on Credit Cards payments.

Miscellaneous Terms

  1. Product Warranty
    Systems Express Ltd is committed to providing quality products and quality service. We always stay responsive to our customers' needs.
    Systems Express Ltd provide a repair/replace warranty on most products (subject to availability), unless otherwise stated. Those that are not included are batteries and all plastic parts (no warranty). Please review our R.M.A Policy.
  2. Shipping Policy
    Generally Systems Express Ltd dispatches orders on a next day service. We can utilise whatever courier service you request and pay for.
    Consignment Notes/Tracking Reports keep you informed on your delivery. We can provide precise information on the status of your shipment upon request.
    Blind Shipments. Anonymous packaging is available when discretion is a priority.
    We can also provide a Same-Day Service - price depending on each individual destination within the UK.
    Shipping costs are calculated by using a package's weight/ dimentional weight and the type of service requested, i.e. Overnight and Timed Deliveries.
    Customers' orders are subject to standard carriage charges that require delivery within the UK; Overseas deliveries are individually priced depending on Size, Weight and the destination of the package.
  3. Broker Service
    If you are unable to locate a product you are looking for on the web site you can complete a Request a quote form.

  4. Traceability
    All goods that Systems Express Ltd supply, have individual serial numbers so that every part supplied can be tracked back to the original source of supply.
  5. Condition of Product
    Systems Express Ltd offers its customer's product that is new, remanufactured, and refurbished (used). This is what these terms mean to you:
    New: Direct from the manufacturer.
    Remanufactured: Built from components reclaimed from items returned to the manufacturer. Remanufactured product is built to the same standards as brand new product.
    Refurbished (Used): Product returned from consumers. All refurbished product is inspected and tested and restored to "like-new" condition.
  6. R.M.A. & Refund Policy
    a. Systems Express Ltd will replace/repair or credit, at our option, any product found to be defective within the warranty period. Customer will be responsible for the carriage cost of the faulty goods being dispatched to Systems Express Ltd for replacement/ repair. Systems Express Ltd will be responsible for the carriage of the goods being returned. Systems Express Ltd will not issue cash refunds.
    b. R.M.A. numbers will be issued only after the customer has received and completed a Returns Request Form. Goods for return will only be accepted with an R.M.A. number.
    c. All R.M.A. numbers will be either faxed or e-mailed to the customer.
    d. R.M.A. numbers for defective products will only be issued within the given warranty period. Warranty starts from the date of dispatch of items.
    e. There will be a restocking fee of 20% for all products returned as defective but, on inspection, found to be in good working condition.
    f. R.M.A. numbers can be issued for returns of Good Parts received by customer, subject to approval. The goods must arrive at Systems Express Ltd within 7 days from date of invoice. No R.M.A. numbers will be issued for Good Parts after 7 days. A 20% restock fee applies to all Good Parts returned.
    g. No R.M.A. numbers will be issued for products damaged during shipping when the goods have been collected by the customers own carriers. Systems Express Ltd cannot be responsible for damages incurred in transit using this method. The collecting carrier would be responsible for such damages. The customer is responsible for the shipping claim when the order is received with shipping damage.
    h. Advanced replacements will be invoiced separately at the original invoice price. The faulty product will then be credited subject to the returned goods being inspected and tested.
    i. R.M.A. numbers are valid for 7 days and will be cancelled if the return is not received within this time. Expired R.M.A. numbers will be refused.
    j. All shipments refused by a customer that are not authorised by Systems Express Ltd will be subject to a 80% restocking fee plus all shipping charges.
    k. Under no circumstances should there be a deduction from invoice payment for returned items.
  7. Quotations and Orders
    Pricing on quotations is valid for 24 hours from the time of issue (unless stated otherwise), and subject to availability. After the quotation expires, pricing must be updated. Availability is never guaranteed unless otherwise stated in writing.
  8. Copyright, Patents and Licences
    The entire contents of the Web site, which contain proprietary and confidential information, are the exclusive property of Systems Express Ltd and are protected by copyright, patent and other intellectual property laws. Systems Express Ltd is granting Users a non-exclusive, non-transferable, limited license to access the Web site for the sole purpose of examining the Systems Express Ltd 's inventory to determine whether to make a bona fide purchase from Systems Express Ltd. Except for its own User specific information (e.g., order information and user account history), the User may not print or download any portion of the materials for any other use. Any copying, redistribution, publication or retransmission of any portion of Web site material, without the express written permission of Systems Express Ltd, is strictly prohibited.
  9. Disclaimer
    Systems Express Ltd cannot and does not guarantee or warrant that files or software of any kind, or from any source, available for downloading through the Web site will be free of infection or viruses, worms, Trojan Horses or other code or defects that manifest contaminating or destructive properties. User is responsible for implementing sufficient procedures and checkpoints to satisfy external to the Web site for the reconstruction of lost data. It is the responsibility of the User to insure the accuracy and completeness of any information provided to Systems Express Ltd through the Web site. Systems Express Ltd disclaims all other warranties in connection with the use of the Web site, either express or implied, including but not limited to the implied warranties of merchantability, non-infringement of third party rights, and fitness for particular purpose. The duration of any statutorily required warranty period shall be limited to the term of the limited warranty. In no event shall Systems Express Ltd be liable for any special, incidental, indirect or consequential damages or any kind, or any damages whatsoever, including without limitation, those damages resulting from loss of use, data or profits, whether or not the user has been advised of the possibility of damage, or under any theory of liability, arising out of or in connection with the use of the Web site or the communication or transmission of information to or from the Web site.
